Individual entrepreneur Nadiia Yaroslavivna Hurych, entry number in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations _____________ dated 01.10.2024, who sells goods through the minadi.ua portal, hereinafter the "Seller," on the basis of Articles 633 and 634 of the Civil Code of Ukraine, offers any individual who has legal capacity and all the rights and powers necessary to conclude and perform this Public Agreement (hereinafter the "Buyer," together the "Parties") to conclude this Public Sales Agreement (hereinafter the "Public Agreement") on the following terms:

1. TERMS USED IN THE AGREEMENT

1.1. Public offer (hereinafter the "Offer") means the Seller's public proposal, addressed to an indefinite range of persons who have legal capacity and all the necessary rights and powers, to conclude and perform this Public Agreement, so as to enter into a Public Agreement with the Seller for the distance sale of goods on the terms set out in this Offer.

1.2. Order for the purchase of Goods on the online store website means the items selected by the Buyer from the range of Goods offered for sale, provided that an application to purchase the Goods has been placed on the online store website or through the Operator.

1.3. Acceptance means the Buyer's full and unconditional agreement to the Seller's proposal to conclude the Public Agreement on the terms provided for in this Public Agreement.

1.4. Goods means embroidered clothing and related items, in the quantity, range and at the price presented in the online store on the minadi.ua website.

1.5. Online store means the official online store located at: https://www.minadi.ua/

2. SUBJECT OF THE AGREEMENT

2.1. Under this Public Agreement, the Seller undertakes to transfer to the Buyer the Goods presented for sale in the online store, and the Buyer undertakes to accept the Goods and pay for them in the manner and on the terms provided for in this Public Agreement.

2.2. The name of the Goods, their main characteristics, fabric, size and color are specified in the description of each respective item presented in the online store.

3. ACCEPTANCE OF THE AGREEMENT

3.1. Acceptance of this Offer is confirmed by the Buyer's Order for the purchase of Goods placed on the online store website.

3.2. From the moment the Seller receives the Order for the purchase of Goods, the Public Agreement is considered concluded without further signing by the Parties.

4. PLACING AN ORDER FOR THE PURCHASE OF GOODS

4.1. The Buyer places an Order for the purchase of Goods by telephone at the number indicated on the online store website, or through the service of the online store website minadi.ua.

4.2. The Order for the purchase of Goods contains the name of the Goods, the fabric composition, size, fabric color, price of the Goods, the form of payment and method of delivery, and information about the Buyer (surname, first name, patronymic, mobile phone number, e-mail address). To place an Order for the purchase of Goods, all requested information must be provided.

4.3. When placing an Order for the purchase of Goods through the online store website, the Buyer undertakes to provide the following registration information:

4.3.1. The surname, first name and patronymic of the Buyer or of the person designated by the Buyer (the recipient).

4.3.2. E-mail address.

4.3.3. Contact telephone number.

4.4. If the Seller needs additional information, the Seller has the right to request it from the Buyer. If the Buyer fails to provide the necessary information, the Seller is not liable for the Goods chosen by the Buyer, and the Seller has the right not to send the Goods to the Buyer until the requested additional information is received.

4.5. When placing an Order through the Operator (clause 4.1 of this Offer), the Buyer undertakes to provide the information specified in clause 4.3 of this Offer.

4.6. The Buyer accepts the terms of this Offer by entering the relevant data into the Order form for the purchase of Goods on the online store website or when placing the Order through the Operator. After the Order is placed through the Operator, the Buyer's data will be registered in the Seller's database. After the Order for the selected Goods is approved, the Buyer provides the Operator with the necessary information in accordance with the procedure specified in clause 4.3 of this Offer.

4.7. The Seller is not responsible for the content and accuracy of the information provided by the Buyer when placing the Order for the purchase of Goods.

4.8. The Buyer is responsible for the accuracy of the information provided when placing the Order for the purchase of Goods.

4.9. The Seller undertakes to contact the Buyer by the e-mail address or telephone number provided by the Buyer within one business day (24 hours) from the moment the Order for the purchase of Goods is placed, in order to confirm the Order.

5. PRICE AND PAYMENT PROCEDURE

5.1. The price of each item of Goods is indicated on the online store website at the time of ordering and requires confirmation by the Seller after the Seller receives the Buyer's Order for the purchase of Goods.

5.2. The Seller has the right to unilaterally change the price of any item of Goods.

5.3. If the price of the ordered Goods changes, the Seller undertakes to inform the Buyer of the price change within three business days.

5.4. The Buyer has the right to confirm or cancel the Order for the purchase of Goods if the price was changed by the Seller after the Order was placed.

5.5. The Seller indicates the cost of delivery of the Goods on the online store website or informs the Buyer of it when the Order for the purchase of Goods is placed through the Operator.

5.6. The Buyer's obligations to pay for the Goods are considered fulfilled from the moment the funds are received by and credited to the Seller.

5.7. Settlements for the Goods between the Seller and the Buyer are made by the methods specified on the online store website at: https:/оплата і доставка (payment and delivery)

6. DELIVERY AND TRANSFER OF THE GOODS TO THE BUYER

6.1. The Seller provides or arranges for the Buyer delivery services for the Goods by one of the methods specified on the online store website at: https://оплата і доставка (payment and delivery).

6.2. The Buyer indicates the place of delivery of the Goods to the Seller when confirming the Order for the purchase of Goods.

6.3. The Goods are delivered to any country in the world and throughout the territory of Ukraine, with the exception of temporarily occupied territories. Delivery to the territory of the Russian Federation and the Republic of Belarus is not carried out.

6.4. The delivery time of the Goods to the Buyer consists of the order processing time and the delivery time, and is: 1–3 business days (for delivery within Ukraine).

6.4.1. For all Goods that are in stock, the Order is shipped within 1–3 business days.

6.4.2. In the case of a pre-order, the Seller may need 10–14 business days after payment is confirmed to make the items.

6.4.3. Within another period agreed by the Buyer and the Seller.

6.5. Ownership of the Goods passes to the Buyer from the moment the Goods are handed over to the Buyer by any of the methods provided for and the Buyer has paid the price of the Goods.

6.6. The Buyer undertakes to check the purchased items for conformity with quality and completeness at the moment of receipt and to make any claims at the moment the Goods are accepted. Otherwise, the online store minadi.ua has the right not to consider claims regarding the quality and completeness of the Goods sold, except in cases expressly provided for by the current legislation of Ukraine.

7. QUALITY OF THE GOODS. OUR WARRANTY ON THE GOODS

7.1. The quality of the Goods offered by the Seller through the online store meets the requirements and standards provided for by the current legislation of Ukraine for this category of goods.

7.2. The Seller provides a warranty on the Goods for the period specified by the manufacturer of the Goods.

7.3. The Buyer's rights in cases where defects are found in the purchased Goods are provided for by the current legislation of Ukraine.

7.4. Delivery to the Seller of Goods in which the Buyer has found defects is carried out at the Buyer's expense.

8. LIABILITY OF THE PARTIES

8.1. For non-performance or improper performance of obligations under this Agreement, the Parties bear the liability provided for by the current legislation of Ukraine.

8.2. The Seller does not guarantee the uninterrupted and error-free operation of the Website and is not liable for:

  • delays, interruptions or losses caused by a malfunction of any electronic or mechanical equipment not owned by the Seller;

  • data transmission or connection problems that arose through no fault of the Seller;

  • the quality of public communication channels through which access to the Website is obtained;

  • blocking of access to the Website as a result of the actions of third parties.

However, the Seller undertakes to make all reasonable efforts to prevent this and will take all possible measures to eliminate problems that may arise.

8.3. Complaints or claims of Users/Buyers must be made in writing. The Seller will take all necessary measures to satisfy the complaints/claims of Users/Buyers, provided that they are substantiated and properly drawn up in accordance with the current legislation of Ukraine.

8.4. All disputes, disagreements and claims arising from this Agreement or in connection with it, including those relating to its performance, breach, termination or invalidity, shall be resolved in the competent court in accordance with the current legislation of Ukraine.

9. TERM OF THE PUBLIC AGREEMENT

9.1. The Public Agreement enters into force from the moment of its acceptance by the Buyer and remains valid until the Parties have fully performed their obligations under this Public Agreement.

9.2. The Public Agreement may be terminated early by mutual agreement of the Parties.

9.3. The Public Agreement may be terminated by the Seller if the Buyer violates their obligations under this Public Agreement or the Rules and conditions set out in the Agreement, available for review at: https://

10. OTHER TERMS

10.1. Disputes of the Parties arising in connection with non-performance of obligations under this Agreement are resolved through negotiations. If disputes cannot be resolved through negotiations, they shall be resolved in court in accordance with the current legislation of Ukraine.

10.2. The Seller has the right to amend the Offer without notifying the Buyer; the amendments take effect from the moment the Seller makes them by posting them on this website.

10.3. By being on the Seller's website, the Buyer authorizes the Seller to process their personal data in accordance with the Law of Ukraine "On Personal Data Protection." The Buyer confirms that they are familiar with the rights enshrined in the Law of Ukraine "On Personal Data Protection."

10.4. The Public Agreement is concluded by the Buyer's full accession to the Agreement proposed by the Seller, through acceptance of all essential terms of the Agreement without signing a written copy, and has legal force in accordance with Articles 633 and 634 of the Civil Code of Ukraine. The Buyer cannot propose their own terms of the Public Agreement.

10.5. Unconditional and full acceptance of the terms of the Public Agreement by the Buyer is effected through the Buyer's performance of actions aimed at purchasing the Goods, as provided for by the Public Agreement, regardless of any other terms.

10.6. By providing their personal data, the Buyer permits the Seller and its partners to send information, including advertising, by e-mail or SMS messages.

10.7. The Buyer permits the Seller to record and store telephone calls, letters and messages, including electronic ones, related to the fulfillment of the Buyer's Order for the purchase of Goods and to obligations under this Agreement.
